Engagement Terms

1.1 Turnkey Sovereign Deliverables: All creative direction, spatial audio arrangements, cinematic scoring, sound design assets, and visual architectures are custom-engineered in-house by Kaz Creative Studio on an exclusive, turnkey basis.

1.2 The Single Master Draft Architecture: In accordance with our rigorous executive methodology, each engagement phase commences with a definitive, single master draft engineered strictly to the parameters agreed upon during the pre-clearance briefing.

1.3 Iteration Ceiling: The engagement fee encompasses exactly up to two (2) rounds of precision micro-refinements (minor acoustic balancing, frequency carving, cue synchronization). Substantial structural alterations or revisions outside original briefing specifications shall trigger an addendum invoice starting at USD $2,000 / JPY 300,000 per milestone recalibration.

2.1 Cleared Funds Requirement: Under no circumstance will exploratory sketches, compositional motifs, stems, or digital infrastructure commence prior to full receipt and ledger confirmation of required milestone funds in our designated repository.

2.2 Authorized Channels: International transactions are strictly executed via Wise Commercial Wire (USD/EUR/GBP/TWD/SAR). Domestic Japanese transfers require institutional direct wire to PayPay Bank (Kaz Creative Studio designated corporate facility). Third-party unsecured credit facilities or deferred net-terms are explicitly precluded.

To preserve uncompromising studio fidelity, calendar capacity is regulated through a three-tiered timelock mechanism calculated from invoice issuance:

4.1 Absolute Non-Ingestion of Personal Data: Kaz Creative Studio strictly provides front-facing spatial UX, aesthetic direction, and API-connected software architectures. Studio systems and team personnel neither collect, process, nor store Personally Identifiable Information (PII), booking registries, guest profiles, or payment cardholder data generated by the Client’s patrons.

4.2 Pass-Through Merchant Routing: All commerce, booking, and transactional engines operate via direct pass-through APIs connecting the Client’s designated merchant gateways (e.g., Stripe, Square, Apple Pay) directly to the Client’s sovereign merchant accounts.

4.3 End-User Immunity & Total Indemnification: The Client retains exclusive, sole legal custody and liability regarding regulatory compliance (GDPR, APPI, PCI-DSS) and customer support disputes. Kaz Creative Studio is fully held harmless and indemnified against all claims, leaks, chargebacks, or data breaches occurring outside our creative source scope.

5.1 Worldwide Commercial Synchronization Buyout: Upon cleared receipt of the total agreed commission sum, Kaz Creative Studio grants the Client an irrevocable, perpetual, worldwide commercial synchronization license for the final delivered rendering in the agreed context.

5.2 Proprietary Synthesizers & OS ZERO Architecture: Underlying algorithmic generative architectures, autonomous agent engines (OS ZERO / Miyu protocol), sound design synthesizer patches, and unrendered source project files remain the sole, permanent intellectual property of Kaz Creative Studio.

5.3 Studio Retrospective Rights: Kaz Creative Studio retains the perpetual right to exhibit, archive, and display the completed engagement assets within its physical exhibitions, monograph releases, and private client dossiers.

6.1 Dedicated Resource Allocation: Retainers and progress milestone deposits allocate dedicated studio hours and lock acoustic studio facilities exclusively for the Client. All received funds are non-refundable.

6.2 14-Day Dormancy Trigger: Failure by the Client to supply vital creative assets, approvals, or feedback within fourteen (14) consecutive calendar days transitions the project into Dormant Status. Resumption requires schedule realignment and a mandatory 15% reactivation surcharge based on the aggregate engagement contract.
